1. Introduction

Welcome to Chemical Compass PRO (www.chemicalcompasspro.com) (“the Platform”), owned and operated by Ajay Joshi Chemicals (“AJC”, “we”, “our”, or “us”). AJC is Asia’s most specialised chemicals intelligence and advisory firm, operating across India and China.

This document sets out the Privacy Policy and Terms of Use that govern your access to and use of the Platform, including all reports, data, analysis, and content made available through it. By accessing or using the Platform, you agree to be bound by these terms. If you do not agree, you must not access or use the Platform.

2. Definitions

“Content” means all reports, publications, data, analysis, commentary, graphics, and other materials available on the Platform, including but not limited to: China Insider, Company X-Ray, AJC Weekly Brief, ChemInsight 360, Chemical Compass PRO reports, and any other research products published by AJC.

“Subscriber” or “You” means any individual or entity that has been granted access to the Platform under a valid subscription agreement with AJC.

“Organisation” means the corporate entity, firm, or institution under whose subscription agreement the Subscriber has been granted access.

“Authorised User” means an individual within the Subscriber’s Organisation who has been granted login credentials to access the Platform.

3. Scope of Services

The Platform provides Subscribers with access to AJC’s proprietary chemicals intelligence reports and publications, including:

Chemical Compass PRO – AJC’s flagship market intelligence product covering pricing, supply-demand dynamics, and strategic analysis across chemical value chains.

China Insider – Ground-level intelligence on China’s chemical industry, pricing dynamics, capacity movements, and policy shifts.

Company X-Ray – Deep-dive analytical reports on individual chemical companies, covering financials, competitive positioning, and strategic outlook.

AJC Weekly Brief – Weekly summary of critical developments across the Indian and global chemicals landscape.

ChemInsight 360 – Comprehensive sector and thematic reports covering specific chemical value chains, geopolitical impacts, and investment theses.

Subscribers may view and download Content for internal use within their Organisation, subject to the restrictions set out herein.

4. Intellectual Property & Content Ownership

All Content on the Platform is the exclusive intellectual property of Ajay Joshi Chemicals. This includes all text, data, analysis, graphics, logos, brand elements, report templates, and proprietary methodologies.

No Content may be reproduced, republished, redistributed, sublicensed, transmitted, sold, or made available to any third party outside the Subscriber’s Organisation, in whole or in part, in any form or by any means, without the prior written consent of AJC.

The AJC brand, logo, Chemical Compass PRO name and mark, and all associated product names (China Insider, Company X-Ray, ChemInsight 360, AJC Weekly Brief) are trademarks of Ajay Joshi Chemicals and may not be used without authorisation.

5. Permitted Use

Subject to these Terms, Subscribers and Authorised Users are granted a limited, non-exclusive, non-transferable, revocable licence to:

Access and view Content on the Platform using their assigned login credentials.

Download Content in the formats made available on the Platform for internal reference and decision-making within their Organisation.

Share downloaded Content internally within their Organisation, provided it is shared only with employees or principals of the same Organisation who have a legitimate business need.

Quote limited excerpts (not exceeding 100 words per excerpt) in internal documents, provided such excerpts are attributed to “Ajay Joshi Chemicals – Chemical Compass PRO” and are not published externally.

6. Prohibited Use

The following activities are strictly prohibited and constitute a material breach of these Terms:

Sharing, forwarding, distributing, or making available any Content to any individual, entity, or organisation outside the Subscriber’s Organisation, whether in original or modified form.

Posting, uploading, or publishing any Content on any external website, social media platform, messaging application, forum, or public or semi-public medium.

Reproducing, copying, or creating derivative works from any Content for external distribution, sale, or commercial exploitation.

Sharing login credentials with any person outside the Subscriber’s Organisation or allowing unauthorised individuals to access the Platform.

Using automated tools, bots, scrapers, or crawlers to access, download, index, or extract Content from the Platform.

Removing, altering, or obscuring any copyright notices, watermarks, proprietary legends, or confidentiality markings on any Content.

Reverse-engineering, decompiling, or attempting to extract underlying data, methodologies, or source material from any Content.

Using Content to provide competing advisory, research, or intelligence services to third parties.

7. Confidentiality Obligations

All Content accessed or downloaded from the Platform shall be treated as confidential and proprietary information of AJC. Subscribers shall apply the same degree of care to protect AJC’s Content as they would to their own confidential information, and in no event less than a reasonable degree of care.

The confidentiality obligation shall survive the termination or expiry of any subscription agreement and shall remain in force indefinitely with respect to Content accessed during the subscription period.

8. Data We Collect

When you access and use the Platform, we may collect the following categories of information:

8.1 Information You Provide

Name, email address, phone number, and Organisation details provided during registration or subscription onboarding.

Billing and payment information processed through our payment partners.

Communications you send to us, including support requests and feedback.

8.2 Information Collected Automatically

Login timestamps, session duration, pages visited, and reports accessed or downloaded.

Device information, browser type, operating system, and IP address.

Cookies and similar tracking technologies used to maintain session state and improve Platform performance.

8.3 Usage Analytics

We track report download activity and access patterns to monitor compliance with these Terms, to understand subscriber engagement, and to improve our products and services.

9. How We Use Your Data

We use the information collected for the following purposes:

To provide, maintain, and improve the Platform and deliver Content to Subscribers.

To authenticate users and manage access credentials.

To monitor for unauthorised access, distribution, or misuse of Content.

To process payments and manage subscription billing.

To communicate with Subscribers regarding their account, new publications, service updates, and product announcements.

To comply with applicable laws, regulations, and legal processes.

To enforce these Terms and protect AJC’s intellectual property rights.

10. Data Sharing & Disclosure

We do not sell, rent, or trade your personal information to third parties. We may share your information in the following limited circumstances:

With service providers who assist in operating the Platform (hosting, payment processing, email delivery), subject to confidentiality obligations.

With professional advisors (legal, accounting) as necessary to protect AJC’s rights.

As required by applicable law, regulation, court order, or governmental request.

In connection with a merger, acquisition, or sale of assets, where subscriber data may be transferred to a successor entity.

11. Data Security

We implement reasonable administrative, technical, and physical security measures to protect your information from unauthorised access, alteration, disclosure, or destruction. These measures include encrypted data transmission (SSL/TLS), access controls, and regular security reviews.

However, no method of electronic transmission or storage is completely secure, and we cannot guarantee absolute security of your data.

12. Data Retention

We retain your personal information for as long as your subscription remains active and for a reasonable period thereafter to comply with legal obligations, resolve disputes, and enforce these Terms. Usage logs and access records may be retained for up to three (3) years for audit and compliance purposes.

13. Cookies

The Platform uses cookies and similar technologies to manage user sessions, remember preferences, and analyse usage patterns. By using the Platform, you consent to the use of cookies as described herein. You may disable cookies in your browser settings, though this may affect Platform functionality.

14. Enforcement & Breach

AJC actively monitors access and download patterns and reserves the right to investigate any suspected breach of these Terms. In the event of a breach or suspected breach:

AJC may immediately suspend or terminate the Subscriber’s access to the Platform without prior notice.

AJC may pursue all available legal remedies, including injunctive relief and damages, for unauthorised distribution, reproduction, or misuse of Content.

The Subscriber and their Organisation shall be jointly and severally liable for any breach by an Authorised User.

AJC reserves the right to seek recovery of lost licensing revenue and consequential damages arising from unauthorised distribution.

15. Disclaimers

All Content is provided for informational and analytical purposes only and does not constitute investment advice, legal advice, or a recommendation to buy, sell, or hold any financial instrument, commodity, or security.

While AJC takes reasonable care to ensure the accuracy of its Content, all information is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

AJC shall not be liable for any losses, damages, or costs arising from reliance on the Content, including but not limited to trading losses, investment losses, or business decisions made on the basis of Content accessed through the Platform.

16. Limitation of Liability

To the maximum extent permitted by applicable law, AJC’s total aggregate liability to any Subscriber for any claims arising under or in connection with these Terms shall not exceed the total subscription fees paid by the Subscriber in the twelve (12) months immediately preceding the event giving rise to the claim.

In no event shall AJC be liable for any indirect, incidental, special, consequential, or punitive damages, regardless of the cause of action or the theory of liability.

17. Indemnification

The Subscriber agrees to indemnify, defend, and hold harmless AJC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with the Subscriber’s breach of these Terms, including any unauthorised distribution or use of Content.

18. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Nainital, Uttarakhand, India.

19. Modifications to Terms

AJC reserves the right to modify these Terms at any time. Material changes will be communicated to Subscribers via email or through a notice on the Platform. Continued use of the Platform after such notification constitutes acceptance of the modified Terms. Subscribers are encouraged to review these Terms periodically.

20. Termination

AJC may terminate or suspend a Subscriber’s access to the Platform at any time, with or without cause, upon written notice. Upon termination, the Subscriber’s right to access and use the Platform ceases immediately. Sections 4 (Intellectual Property), 6 (Prohibited Use), 7 (Confidentiality), 15 (Disclaimers), 16 (Limitation of Liability), 17 (Indemnification), and 18 (Governing Law) shall survive termination.
